Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Evergreen Holistically Inc. ("Company," "we," "us," or "our") governing your access to and use of our website evergreenholistically.com and all related services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use our services.

Services Description

Evergreen Holistically Inc. provides virtual administrative support services, including but not limited to:

• Administrative and executive assistance
• Calendar and email management
• Document preparation and management
• Customer service support
• Project coordination
• Research and data entry
• Bookkeeping and financial organization

Service Agreements

All service engagements require a signed service agreement outlining the specific scope of work, deliverables, timelines, and compensation. These Terms apply in addition to any specific service agreement.

In the event of a conflict between these Terms and a specific service agreement, the service agreement shall prevail with respect to that particular engagement.

Payment Terms

• For retainer packages, the first month requires a 50% deposit to initiate services
• Subsequent monthly payments are due at the beginning of each service period
• Hourly services are billed in 15-minute increments
• Payment is due within 15 days of invoice date unless otherwise specified
• Late payments may be subject to a 2% monthly service charge
• Unused retainer hours do not roll over to subsequent months unless specified in your service agreement

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Respond to communications in a timely manner
• Make payments as agreed
• Not request services for any unlawful purpose
• Respect confidentiality of our proprietary processes and methods

Confidentiality

We understand the importance of confidentiality in business relationships. We commit to:

• Maintaining strict confidentiality of all client information
• Using client information solely for the purpose of providing services
• Not disclosing confidential information to third parties without consent
• Implementing appropriate security measures to protect client data

A separate Non-Disclosure Agreement (NDA) may be executed upon request for engagements requiring enhanced confidentiality protections.

Intellectual Property

All work product created specifically for a client during the course of an engagement shall become the property of the client upon full payment. Our proprietary tools, templates, processes, and methodologies remain our intellectual property.

Limitation of Liability

To the maximum extent permitted by law, Evergreen Holistically Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising out of or relating to our services shall not exceed the total amount paid by you for services in the twelve (12) months preceding the claim.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, timely, secure, or error-free.

While we strive for excellence in all our work, we do not guarantee specific business outcomes or results from the use of our services.

Termination

Either party may terminate a service engagement with 30 days written notice. Upon termination:

• All outstanding invoices become immediately due
• Work in progress will be delivered to the extent completed
• Client materials and data will be returned or securely destroyed as directed
• Confidentiality obligations survive termination

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Alberta.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
